1. Acceptance of Terms

These Terms constitute a legally binding agreement between you and INVSBL. By creating an account, accessing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Statement.

2. The INVSBL Services

INVSBL provides a proprietary algorithm and interface designed to orchestrate, enhance, and manage interactions with various underlying large language models (LLMs) from third-party providers (e.g., OpenAI, Google, Anthropic). Our Services allow users to generate content, analyze data, and perform other tasks leveraging the combined power of these AI models and our intelligent algorithm.

You understand and agree that:

• Third-Party LLM Reliance: The core functionality of INVSBL relies on the APIs and services of third-party LLM providers. While our algorithm optimizes and directs inputs to these LLMs, we are not responsible for the performance, availability, or outputs generated by these third-party LLMs.
• Algorithmic Enhancement: Our INVSBL algorithm intelligently processes your input, selects or combines LLMs, refines prompts, and may apply post-processing to outputs to enhance results. The specific LLM(s) used for any given output may vary based on our algorithm's routing logic or your selected preferences.
• Evolving Service: The Services, including the underlying LLMs and our algorithm, are constantly evolving. Features, functionalities, and performance may change over time without prior notice.

3. Account Registration and Security

• Eligibility: You must be at least 13 years old to use the Services. By creating an account, you represent and warrant that you are at least 13 years of age.
• Account Information: You agree to provide accurate, current, and complete information during the registration process and to keep your account information updated.
• Account Security: You are responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to comply with these obligations.

4. User Content and Responsibilities

a. Your Content:

• Ownership: You retain all ownership rights in the text, images, data, or any other content you input into the Services ("User Content").
• License to INVSBL: By submitting User Content to the Services, you grant INVSBL a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content solely for the purpose of operating, improving, and developing the INVSBL Services, including sending your User Content to third-party LLM providers as necessary to generate outputs.

b. Acceptable Use:

You agree not to use the Services to:

• Generate, upload, or transmit any content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
• Infringe upon the intellectual property rights of others, including copyrights, trademarks, patents, or trade secrets.
• Engage in any activity that is fraudulent, deceptive, or misleading.
• Distribute spam, malware, viruses, or any other harmful code.
• Attempt to gain unauthorized access to our Services, other user accounts, or computer systems or networks connected to the Services.
• Engage in any activity that disrupts or interferes with the Services or the servers and networks connected to the Services.
• Use the Services to generate false or misleading information, deepfakes, or to impersonate others without proper disclosure and consent.

c. Output Responsibility:

• You acknowledge that the outputs generated by the Services are based on your input and the capabilities of the underlying LLMs. INVSBL does not guarantee the accuracy, completeness, or reliability of any output. You are solely responsible for reviewing, validating, and verifying any output generated by the Services before relying on it or disseminating it.
• You are solely responsible for ensuring that your use of the generated outputs complies with all applicable laws, regulations, and third-party rights, including intellectual property rights, privacy laws, and ethical guidelines.

5. Intellectual Property Rights

• INVSBL Services: All rights, title, and interest in and to the INVSBL Services, including our proprietary algorithm, software, code, design, trademarks, service marks, and all related intellectual property rights, are and will remain the exclusive property of INVSBL and its licensors.
• Your User Content: As stated in Section 4a, you retain ownership of your User Content.
• AI-Generated Outputs: The intellectual property rights concerning AI-generated outputs are complex and evolving. To the extent legally permissible, and subject to the terms of the underlying LLM providers, INVSBL assigns to you any rights it may have in the outputs generated for you by the Services based on your User Content.

6. Fees and Payment

• If you subscribe to any paid features of the Services, you agree to pay all applicable fees and taxes.
• All fees are non-refundable unless otherwise stated in writing by INVSBL.
• INVSBL reserves the right to change its pricing at any time. We will provide you with advance notice of any price changes.

7. Fair Use Policy

Our Fair Use Policy is designed to ensure a stable, reliable, and equitable service for all users. By using INVSBL, you agree to use our Services in a normal, legitimate, and responsible manner.

Prohibited Activities:

• Account Abuse: Creating multiple accounts to exploit free trials, promotional offers, or usage limits.
• Automated Misuse: Using bots, scripts, or automated tools to generate excessive requests or circumvent usage limitations.
• Resource Exploitation: Deliberately attempting to overload our systems or consume disproportionate computational resources.
• Commercial Resale: Reselling or redistributing access to INVSBL Services without explicit written permission.
• Malicious Content: Using the Services to generate harmful, illegal, or abusive content.

Enforcement:

We monitor usage patterns to detect violations of this Fair Use Policy. If we determine that your usage violates this policy, we may:

• Issue warnings or temporary restrictions
• Suspend or terminate your account
• Limit access to certain features
• Take legal action if necessary

We reserve the right to make determinations about Fair Use violations at our sole discretion. If you believe your account has been restricted in error, please contact us at contact@invsbl.dev.

8. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. INVSBL MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THEIR SERVICES, OR THE INFORMATION, CONTENT, MATERIALS, OR PRODUCTS INCLUDED ON THEIR SERVICES. YOU EXPRESSLY AGREE THAT YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.

INVSBL DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. INVSBL DOES NOT WARRANT THAT THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE.

10. Limitation of Liability

IN NO EVENT SHALL INVSBL, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE LIMITATIONS ABOVE MAY NOT APPLY TO YOU.

11. Indemnification

You agree to defend, indemnify, and hold harmless INVSBL and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of your use and access of the Service, your breach of these Terms, your violation of any third-party rights, or your violation of any applicable law, rule or regulation.

12. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

13. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Services.
